Granting in part and denying in part plaintiffs' motion for summary judgment and sustaining in part and overruling in part the parties' competing objections to summary-judgment evidence.
The Court construes aspects of a sales and exchanges contract requiring the defendant to offer, and the plaintiffs to either buy or exchange, defendant's “Excess Ethylene Quantities.”
The contract provides that Delaware law governs. Unlike Texas law, Delaware law implies into every contract a covenant of good faith and fair dealing.
